Terms of Service

Outrio is owned and operated by Dynode LLC. These terms are the agreement between Dynode LLC and you when you use Outrio.

1. Agreement

Outrio (the website at outrio.ai, the web application at app.outrio.ai and the Outrio Worker desktop app, together the "Service") is provided by Dynode LLC ("Dynode", "we", "us"). By creating an account, using the Service or clicking to accept these terms, you agree to them. If you use Outrio for an organization, you accept these terms for that organization and confirm you may do so; "you" then means both you and the organization.

You must be at least 18 and use Outrio for business purposes. Our Privacy Policy explains how we handle personal data and forms part of these terms.

2. Accounts and workspaces

  • Give accurate account information and keep your password and two-factor device safe. You're responsible for everything done in your workspaces.
  • Workspace owners control members, roles, connected mailboxes, API keys, workers and billing. Tell us at once at support@outrio.ai if you suspect unauthorized access.

3. Acceptable use

Outrio is for relevant, personal business outreach. You agree that you will:

  • Comply with all laws that apply to you and your recipients, including anti-spam, e-privacy and data-protection laws (such as CAN-SPAM, CASL, the GDPR and the UK GDPR), and with your email and calendar providers' terms.
  • Only contact businesses and people for whom your offer is relevant, have a lawful basis to do so, include accurate sender information, and honor opt-outs promptly.
  • Not use Outrio for bulk unsolicited mail, phishing, deceptive or misleading content, harassment, discrimination, or anything illegal; not contact consumers where the law requires prior consent you don't have.
  • Not upload malware, probe or overload the Service, circumvent limits or security, resell the Service without our written permission, or use it to build a competing product.

We may pause sending, a mailbox or a workspace to protect recipients, deliverability or the Service, and will tell you why.

4. AI output

  • Outrio uses AI models (Claude, by Anthropic) to research companies, find contacts, write emails and draft replies. AI output can be incomplete or wrong. You're responsible for what you choose to send, including anything sent automatically under the sending mode you select.
  • Outrio never agrees to prices, discounts or contracts on your behalf; such messages are escalated to you.
  • As between you and us, you own the content Outrio generates for you, subject to the rights of third parties in any material it is based on.

5. Outrio Worker

  • The Outrio Worker is an optional desktop app that runs your workspace's AI tasks on your computer using Claude Code, which you install and sign in to yourself. It connects out to app.outrio.ai only.
  • When the worker uses your Claude account or your Anthropic API key, that use is governed by your own agreement with Anthropic, including its usage policies and your plan's limits. You're responsible for complying with those terms; use your own account for your own work.
  • We grant you a personal, non-exclusive, non-transferable license to install and use the worker with the Service. It's provided without code signing for now; install it only from outrio.ai.

6. Third-party services

Outrio connects to services you choose, such as Google Workspace, Microsoft 365, IMAP/SMTP mailboxes, Anthropic, and data providers. Your use of those services is governed by their terms, and we aren't responsible for them. If a provider changes or withdraws access, related features may stop working.

7. Plans, credits and payment

  • Trial. New workspaces get a 14-day trial with AI credits. At the end of the trial, choose a plan to keep starting new work.
  • Plans are billed monthly in advance through Stripe and renew automatically until cancelled. Cancel any time from the billing page; access continues to the end of the paid period. Fees are non-refundable except where the law requires otherwise. Prices exclude taxes, which are added where applicable.
  • AI credits are used only when AI runs on Outrio (not on your Outrio Worker or your own API key). Credits included with a plan are added each billing period; purchased credits don't expire while your workspace exists. Credits have no cash value, can't be transferred and aren't refundable except where the law requires otherwise. The credits a task uses depend on the work it involves; the amounts we publish are estimates.
  • Your own key. If you connect an Anthropic API key, Anthropic bills you for that usage under your agreement with them.
  • We may change prices with at least 30 days' notice; changes apply from your next billing period. If a payment fails, we may pause new work until it's resolved.

8. Your data

You own the data you put into Outrio and the data Outrio gathers for you ("Customer Data"). You give us permission to process it only to provide, secure and support the Service, as described in the Privacy Policy. For personal data in Customer Data, you're the controller and we're your processor; we process it on your instructions, keep it confidential, use appropriate security, and help you respond to data-subject requests. You can export or delete your data at any time. We don't sell Customer Data or use it to train AI models.

9. Our property and feedback

Dynode owns the Service, including the software, design and the Outrio name and logo. These terms don't give you rights to them beyond using the Service. If you send us feedback, we may use it without obligation to you.

10. Suspension and termination

You may stop using Outrio and close your workspace at any time. We may suspend or terminate access if you materially breach these terms (including acceptable use), fail to pay, or if required by law, with notice where reasonable. After termination you can export your data for 30 days, after which we delete it as described in the Privacy Policy. Sections that by their nature should survive (such as payment, disclaimers, liability and governing law) survive termination.

11. Disclaimers

We work to keep Outrio available, accurate and secure, but the Service is provided "as is" and "as available". To the extent the law allows, Dynode disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and doesn't guarantee any business results, deliverability, replies or meetings.

12. Limitation of liability

To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) Dynode's total liability for all claims relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. These limits don't apply to liability that can't be limited by law.

13. Indemnity

You'll defend and indemnify Dynode against third-party claims arising from your campaigns, the content you send, your Customer Data, or your breach of these terms or of applicable law, and pay resulting damages and reasonable costs.

14. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. If you're a business in the EU or UK, mandatory protections of your local law still apply.

15. Changes to these terms

We may update these terms. For material changes we'll notify workspace owners by email or in the app at least 30 days in advance. Continuing to use Outrio after the changes take effect means you accept them. If you don't agree, you can close your workspace before then.
